1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of all TapSnap LLC (“TapSnap,” “we,” “our,” “us”) products and services, including:

• NFC/QR-enabled devices
  
   
• Digital business hubs (“Link Hubs”)
  
   
• Wallet Pass features
  
   
• Merchant dashboards
  
   
• Subscription plans
  
   
• Ad network placements (optional)
  
   
• TapSnap hardware and accessories
  
   
• TapSnap website(s), software, and applications
  
   
• Net-30 invoicing and business credit reporting (optional; see Section 15)
  
   

By creating an account, purchasing a subscription, using TapSnap hardware, or accessing TapSnap.ai, you agree to these Terms.

If you do not agree, do not use TapSnap.

2. Eligibility

To use TapSnap services, you must:

• Be at least 18 years old
  
   
• Have legal authority to bind the business you represent
  
   
• Provide accurate and truthful information
  
   
• Not be prohibited by law from using TapSnap services
  
   

TapSnap may reject, suspend, or terminate any account at our discretion.

3. TapSnap Services Overview

TapSnap is a marketing, digital engagement, and NFC/QR utility platform that provides tools for businesses to:

• Share links via NFC/QR
  
   
• Host digital Link Hubs
  
   
• Display promotions, menus, and business details
  
   
• Enable Wallet Pass experiences
  
   
• Manage multiple devices from a dashboard
  
   
• Participate in optional advertising placements (depending on subscription tier)
  
   

TapSnap is not a financial institution, lender, advisor, or credit repair company.

4. User Responsibilities

You agree to:

• Use TapSnap only for lawful purposes
  
   
• Provide accurate account, billing, and business information
  
   
• Maintain the confidentiality of your login credentials
  
   
• Be responsible for all activity under your account
  
   
• Comply with all local, state, and federal regulations related to your business
  
   
• Ensure content uploaded to TapSnap is accurate, legal, and does not infringe on third-party rights
  
   

5. Prohibited Activities

You may NOT:

• Use TapSnap to distribute illegal, harmful, or misleading content
  
   
• Upload content that infringes on intellectual property
  
   
• Attempt to bypass TapSnap systems or security
  
   
• Manipulate analytics or ad systems
  
   
• Misuse NFC/QR hardware
  
   
• Attempt to access accounts you do not own
  
   
• Use TapSnap for fraud, spam, or misinformation
  
   
• Reverse-engineer or copy TapSnap technology
  
   
• Misrepresent your identity or business
  
   

Violations may result in suspension or termination.

6. Subscription Plans & Billing

6.1. Auto-Renewal

All paid subscriptions renew automatically unless canceled before the renewal date.

6.2. Billing

By subscribing, you authorize TapSnap and its payment partners to charge your payment method on a recurring basis.

6.3. No Refunds

Unless required by law:

• All subscription fees are non-refundable
  
   
• Charges for partially used periods are not credited
  
   
• Setup fees and hardware costs are non-refundable once shipped or activated
  
   

6.4. Price Changes

We may modify pricing at any time with notice.

7. Hardware & Devices

TapSnap devices (NFC/QR stands, tags, cards, etc.):

• Are for marketing purposes
  
   
• Include a unique UID assigned to your account
  
   
• May be reassigned or re-mapped through your dashboard
  
   
• Must not be altered, tampered with, or reverse-engineered
  
   
• Are not warranted for merchant misuse or damage
  
   

8. Wallet Pass Features

Wallet Passes:

• Provide optional customer engagement
  
   
• Do not collect personal device data
  
   
• May log interactions for analytics
  
   
• Must not be used for regulated financial transactions
  
   

TapSnap does not guarantee compatibility with all devices.

9. User Content

You retain ownership of the content you upload.
 By submitting content, you grant TapSnap a license to:

• Host, store, reproduce, modify, and display content
  
   
• Provide your content to users who scan/tap your TapSnap device
  
   
• Use content for support, troubleshooting, or service improvement
  
   

You represent that you have legal rights to all uploaded content.

TapSnap may remove content that violates these Terms.

10. Advertising Features (Optional; Tier-Based)

If your subscription includes ad placement or ad hosting:

• Ads may appear in your TapSnap Link Hub
  
   
• Advertisers are responsible for their own content
  
   
• TapSnap is not responsible for advertiser claims
  
   
• You may disable ads by upgrading to a no-ad tier (where applicable)
  
   

TapSnap controls ad placement availability and rotation.

11. Analytics

TapSnap provides aggregated, non-identifiable analytics such as:

• Interaction counts
  
   
• Clicks
  
   
• Views
  
   
• Wallet Pass adds/removals
  
   
• Device performance
  
   

Analytics are not guaranteed to be accurate or uninterrupted.

12. Account Termination

TapSnap may suspend or terminate accounts for:

• Policy violations
  
   
• Fraud or misuse
  
   
• Payment failures
  
   
• Risk concerns
  
   
• Inactivity
  
   
• Legal requirements
  
   

Upon termination:

• Access to features is revoked
  
   
• Data may be deleted according to our Privacy Policy
  
   
• No refunds will be issued
  
   

13. Intellectual Property

All TapSnap branding, software, hardware design, code, and documentation remain the exclusive property of TapSnap LLC.

Users may not copy, distribute, modify, or create derivative works of TapSnap technology.

14. Service Availability & Disclaimer

TapSnap is provided “as-is” and “as available.”

We do NOT guarantee:

• Uninterrupted service
  
   
• Error-free performance
  
   
• Data accuracy
  
   
• Specific business outcomes
  
   
• Third-party behavior
  
   
• Ad performance
  
   
• Device compatibility
  
   

TapSnap is NOT liable for:

• Loss of profits
  
   
• Business interruptions
  
   
• Data loss
  
   
• Damages caused by third-party actions
  
   
• Unauthorized access to your account
  
   
• Service outages or delays
  
   

Maximum liability is limited to the amount paid in the last 30 days.

15. Net-30 Terms & Business Credit Reporting (Optional Future Feature)

For eligible paid subscribers (Tier 1 and above):

15.1. Enrollment

• Requires active Tier 1 ($19.99/mo) subscription
  
   
• Requires a one-time $95 enrollment & verification fee
  
   
• Requires accurate business information
  
   
• Requires good account standing
  
   

15.2. Reporting

TapSnap will submit:

• Invoice payments
  
   
• Monthly payment history
  
   
• On-time, late, or unpaid statuses
  
   

TapSnap guarantees submission of your payment data to partnered data furnishers.

15.3. Disclaimers

TapSnap does NOT guarantee:

• Credit score improvements
  
   
• Credit approvals
  
   
• Funding outcomes
  
   
• Bureau processing speeds
  
   

TapSnap is not a lender or credit repair organization.

16. Indemnification

You agree to indemnify and hold TapSnap harmless from:

• Claims arising from your content
  
   
• Misuse of TapSnap Services
  
   
• Violations of laws
  
   
• Third-party disputes
  
   
• Losses caused by your business activities
  
   

17. Governing Law

These Terms are governed by the laws of California, without regard to conflicts of law.

18. Dispute Resolution

All disputes will be resolved through:

Binding arbitration (individual only)

You waive:

• Right to sue in court
  
   
• Right to join class actions
  
   
• Right to jury trials
  
   

This section survives termination.

19. Changes to Terms

TapSnap may update these Terms at any time.
 Continued use of TapSnap constitutes acceptance.
